Agreement

This agreement ("Agreement") constitutes a binding contract between you and SmartPlayPartners.com and governs your use of SmartPlayPartners Service. By registering as a member and accepting this Agreement, you represent that: (i) you have read and understood this Agreement and agree to be bound by its terms and (ii) that you are at least 18 years of age.

The terms of this Agreement may be amended by SmartPlayPartners.com from time to time in its discretion and a copy of such amended terms will be posted at www.SmartPlayPartners.com. If you object to such amended terms, your sole remedy is to refrain from using the SmartPlayPartners.com Service. You will be deemed to have accepted the Agreement as amended 10 days after the amended terms are posted if you continue to use the SmartPlayPartners.com. In the event of such amendment, all other terms of the Agreement will remain in effect.

You can be enrolled as a member of SmartPlayPartners.com Affiliate Program by creating a unique link to any of our websites, using text or one of our banners.

Market Requirements and Conditions

UK Market Requirements and Conditions

As set out in the Gambling Act 2005 there are 3 major objectives that we adhere to:

• Preventing gambling from being a source of crime or disorder, being associated with crime or disorder or being used to support crime
• Ensuring that gambling is conducted in a fair and open way
• Protecting children and other vulnerable persons from being harmed or exploited by gambling

As a SmartPlay Partners affiliate partner, you will always act in a manner that benefits these fundamental objectives and should you fail to comply with them or if you act in any way that compromises our ability to comply with these License regulations, we will terminate our contractual relationship with you accordingly.

If you market our brands in the UK, by accepting these terms you confirm you are fully aware of the following marketing obligations and requirements:

• All advertising must be socially responsible
• Must not target children or vulnerable persons
• Must include age restrictions (18+)
• Must not portray gambling as a solution to financial concerns
• Must not suggest gambling is a rite of passage
• Must not link gambling with seduction, sexual success or enhanced attractiveness
• Must include references to responsible gambling tools
• Must comply with UK Advertising Standards Authority (ASA) requirements
• Must include links to BeGambleAware or similar organizations
• Must not make misleading claims about odds of winning

Additionally, if you are marketing our brands you must ensure that you meet the General Data Protection Regulation (GDPR) standards.

You also agree that if you breach any conditions we can terminate the contract and withhold any monies due.

In accordance with section 330 of the Gambling Act of 2005, it is unlawful to advertise gambling on websites which do not carry the correct permits/license to offer such gambling. In order to uphold the objectives of the Gambling Act of 2005, we have a zero-tolerance stance to working with any affiliate who undertakes such activity and if we discover such this agreement will be terminated and no monies owed will be paid and we will consider to report you to the relevant authorities.

We will terminate this agreement if:

• Our brand is advertised on an unlicensed website that is accepting UK players
• Our brand is on a website/affiliate site with brands not licensed by the UK Gambling commission yet are trying to attract UK players by having offers in GBP, or offers that can be deemed as attracting UK customers, e.g., using UK flag, refer to the UK National self-exclusion register GAMSTOP, promotions with content relevant to the country UK, or suggest in any way that the Brand with no UK Gambling Commission license is available for UK players and/or has a UK License.

Swedish Market Requirements and Conditions

To market our Brands in Sweden or to Swedish customers, then by accepting these terms you confirm you are fully aware of all marketing obligations and will fully adhere to all conditions as set out by the Swedish Regulatory Authority, the Gambling Act (2018-1138), the Marketing Guidelines of the Swedish Gaming Industry and any other relevant law/regulation/guidance that may be issued from time to time included but not limited to following the below rules when displaying any bonus or marketing offer:

Swedish Marketing Requirements:

• All marketing must display "Spela Ansvarsfullt" (Play Responsibly) messaging
• Must include link to Spelpaus.se (Swedish self-exclusion register)
• Age restriction (18+) must be clearly displayed
• Bonus terms must be transparent and easily accessible
• Cannot offer bonuses to self-excluded players
• Must comply with Spelinspektionen (Swedish Gaming Authority) regulations
• Time limits on bonuses must be clearly stated
• Maximum bonus amounts and restrictions must be displayed
• Cannot market to individuals under 18 years of age
• Responsible gambling messaging must be prominent

Ontario Market Requirements and Conditions

To market our Brands in Ontario, Canada, by accepting these terms you confirm you are fully aware of all marketing obligations and will fully adhere to all conditions as set out in Registrar's Standards for Internet Gaming by AGCO (Alcohol and Gaming Commission Ontario) and iGaming Ontario Marketing and Advertising Conditions Policy.

In order to be able to market our Brands on your affiliate site in Ontario, the below requirements need to be adhered to:

Ontario Marketing Requirements:

• Your affiliate site must be registered with iGaming Ontario or appear on the white-listed sites
• Must include ConnexOntario helpline information (1-866-531-2600)
• Age restriction (19+) must be clearly displayed
• Must include responsible gambling messaging
• Cannot make false or misleading claims
• Must comply with AGCO advertising standards
• Cannot target self-excluded individuals
• Social responsibility messaging must be included

Denmark Market Requirements and Conditions

To market our Brands in Denmark or to Danish customers, then by accepting these terms you confirm you are fully aware of all marketing obligations and will fully adhere to all conditions as set out by the Danish Gaming Authority, the Gambling Act (Consolidation Act No. 1303), The Danish Gambling Authority's guide on duty of disclosure when marketing and advertising gambling and any other relevant law/regulation/guidance that may be issued from time to time included but not limited to following the below rules when displaying any bonus or marketing offer:

Danish Marketing Requirements:

• Must include link to ROFUS.nu (Danish self-exclusion register)
• Age restriction (18+) must be clearly visible
• Must display "Spil ansvarligt" (Play responsibly) messaging
• Bonus terms must be transparent
• Cannot market to self-excluded players
• Must comply with Spillemyndigheden (Danish Gambling Authority) regulations
• Time restrictions on bonuses must be stated
• Maximum bonus limits must be displayed
• Cannot target minors or vulnerable persons

German Market Requirements and Conditions

To market our Brands in Germany or to German customers, then by accepting these terms you confirm you are fully aware of all marketing obligations and will fully adhere to all conditions as set out by the GGL (Gemeinsame Glücksspielbehörde der Länder) and the German State Treaty on Gambling (Glücksspielstaatsvertrag - GlüStV):

German Marketing Requirements:

• Must include link to OASIS (German self-exclusion system)
• Age restriction (18+) must be prominently displayed
• Must display responsible gambling messaging
• Cannot advertise between 6:00 and 21:00 on TV/streaming
• Must comply with GGL advertising restrictions
• Warning about addiction risks must be included
• Cannot sponsor sports jerseys or advertise in stadiums
• Bonus offers must be clearly explained

Spain Market Requirements and Conditions

To market our Brands in Spain or to Spanish customers, then by accepting these terms you confirm you are fully aware of all marketing obligations and will fully adhere to all conditions as set out by the DGOJ (Dirección General de Ordenación del Juego):

Spanish Marketing Requirements:

• Must include link to self-exclusion register
• Age restriction (18+) must be clearly visible
• Must display responsible gambling messaging
• Must comply with DGOJ advertising restrictions
• Warning messages required in all advertising
• Cannot target minors

Other Markets (Canada, Ireland, Finland, Mexico, Portugal, Peru, Brazil)

Affiliates marketing in these jurisdictions must comply with all local gambling advertising laws and regulations. Contact your account manager for specific market requirements.

Our Rights and Obligations

Under this Agreement we are obligated to:

• Provide accurate tracking of referred players
• Pay commissions as agreed in your payment plan
• Provide marketing materials and support
• Maintain secure and reliable tracking systems
• Provide monthly statistics and reports
• Process payments in a timely manner
• Provide dedicated account management support
• Ensure all brands are properly licensed in target markets

Your Rights and Obligations

As an affiliate you agree to:

Permitted Activities:

• Promote our brands using approved marketing materials
• Drive quality traffic to our sites
• Provide accurate information about our brands
• Maintain websites that meet quality standards
• Comply with all applicable laws and regulations
• Protect player privacy and data
• Act in good faith in all dealings

Prohibited Activities:

You are strictly prohibited from:

• Engaging in fraudulent activity of any kind
• Cookie stuffing or fraudulent tracking manipulation
• Sending unsolicited emails (spam) promoting our brands
• Bidding on our brand names or trademarked terms in PPC campaigns without authorization
• Using our brand names in your domain name without written permission
• Making false or misleading claims about our brands
• Offering unauthorized bonuses or promotions
• Marketing to self-excluded players
• Advertising in restricted territories
• Using copyrighted materials without permission
• Registering player accounts yourself
• Using automated or bot traffic
• Cloaking or misleading redirects
• Incentivized traffic (paid-to-click, paid-to-signup)
• Adult or illegal content in conjunction with our brands
• Copyright or trademark infringement

Attempts to communicate to Players whether directly or indirectly on our Sites to solicit them to move to any online site not owned by us or for other purposes without our prior approval including but not limited to via email, chat boards, or spamming our tables.

If we determine, in our sole discretion, that you have engaged in any of the foregoing activities, we may (without limiting any other rights or remedies available to us) withhold any Affiliate Accruals and/or terminate this Agreement immediately on notice.

Data Protection and Privacy

Personal Information Collection and Use:

We collect and process personal information necessary for the administration of the affiliate program including but not limited to:

• Name and contact details
• Payment information
• Website/traffic information
• Performance statistics

All personal data will be processed in accordance with GDPR and applicable data protection laws.

If we combine Personal Information with Non-personal Information, the combined information will be treated as Personal Information for as long as it remains combined.

Your Responsibilities:

• Ensure compliance with GDPR when collecting player data
• Have appropriate privacy policy on your website
• Obtain necessary consents for data collection
• Protect any data shared by us
• Do not misuse player information

Suspension and Breach

In the event that we believe you may be in breach of any provision of this Agreement, including any additional provisions and/or obligations/rules communicated to you directly, or for any other justifiable reason, SmartPlayPartners.com reserves the right to immediately:

• Suspend your account pending investigation
• Withhold commission payments
• Terminate this Agreement
• Remove your access to marketing materials
• Take legal action if necessary

Grounds for Suspension or Termination:

• Breach of any term of this Agreement
• Fraudulent activity
• Violation of regulatory requirements
• Poor quality traffic
• Unethical marketing practices
• Non-compliance with market-specific requirements
• Damage to brand reputation

Fraudulent Behaviour

We have zero tolerance for fraudulent activity. Any affiliate found to be engaging in fraud will have their account immediately terminated, all commissions forfeited, and may face legal action.

Examples of Fraud:

• Creating fake player accounts
• Cookie stuffing
• Falsifying traffic or statistics
• Manipulating tracking systems
• Bonus abuse schemes
• Chargebacks facilitation
• Identity theft or impersonation

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SmartPlayPartners.com, Green Planet Marketing Ltd., AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Chargebacks and Payments

Commission Calculations:

• Commissions are calculated based on Net Revenue (player deposits minus withdrawals, bonuses, chargebacks, and adjustments)
• Statistics and reports are updated every 24 hours
• Final commission calculations are made at month-end

Payment Terms:

• Payments are processed monthly
• Payment is typically made within the first 10 business days of each month
• Minimum payout threshold may apply (as agreed with account manager)
• Payment methods: Bank transfer, e-wallets, or other agreed methods

Chargebacks:

• Chargebacks and player refunds will be deducted from affiliate commissions
• Fraudulent player activity may result in commission adjustments
• We reserve the right to adjust commissions for irregular play patterns

Negative Carry-over:

• We do not carry forward negative balances to the next month
• Each month starts fresh

Brand Names/Trademarks

All brand names, trademarks, logos, and intellectual property remain the exclusive property of Green Planet Marketing Ltd. and its licensors.

Permitted Use:

• You may use our approved marketing materials
• You may reference our brand names in editorial content
• You must use materials as provided without alteration

Prohibited Use:

• Cannot register domains containing our brand names
• Cannot register trademarks similar to our brands
• Cannot bid on brand name keywords without permission
• Cannot alter or modify our logos or branding
• Cannot imply official partnership without authorization

Terms and Termination

Duration:

This Agreement continues until terminated by either party.

Termination by Affiliate:

• You may terminate by providing 30 days written notice
• You must remove all tracking links and marketing materials upon termination
• Outstanding commissions will be paid according to normal payment terms (subject to final verification)

Termination by SmartPlayPartners:

• We may terminate immediately for breach of terms
• We may terminate with 30 days notice without cause
• Upon termination, all access to affiliate systems will be revoked

Effect of Termination:

• You must immediately cease all promotion of our brands
• Remove all tracking links and marketing materials
• Outstanding legitimate commissions will be paid
• Commissions under investigation will be withheld pending resolution

Indemnity

You agree to indemnify, defend and hold harmless SmartPlayPartners.com, Green Planet Marketing Ltd., and their respective officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs (including reasonable attorneys' fees), and expenses arising out of or relating to:

• Your breach of this Agreement
• Your violation of any law or regulation
• Your marketing activities
• Claims by third parties arising from your promotional activities
• Your violation of any third-party rights
• Fraudulent activity on your part

THE MATERIALS IN THIS SITE ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, SmartPlayPartners DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

SmartPlayPartners DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE MATERIALS WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT SmartPlayPartners OR THE SERVER THAT MAKES THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

SmartPlayPartners DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE MATERIALS IN SmartPlayPartners WEB SITE IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE.

YOU (AND NOT SmartPlayPartners) ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION. APPLICABLE LAW MAY NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

General Provisions

Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of Cyprus.

Entire Agreement:

This Agreement constitutes the entire agreement between you and SmartPlayPartners.com regarding the affiliate program.

Severability:

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

No Waiver:

Failure to enforce any provision of this Agreement shall not constitute a waiver of that provision.

Assignment:

You may not assign this Agreement without our written consent. We may assign this Agreement to any affiliated entity.

Relationship:

This Agreement does not create a partnership, employment, or agency relationship between you and SmartPlayPartners.com.

Force Majeure:

Neither party shall be liable for any failure to perform due to circumstances beyond their reasonable control.

Acceptance

By registering as an affiliate with SmartPlayPartners.com, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
